This agreement

These Terms are an agreement between you and Kushi Digital Innovations Ltd (RC 9081945), House 1, Three Brothers Street, Ado, Karu, FCT, Nigeria (“Kushi”, “we”, “us”). They cover Kushi Housing, Kushi Sales, kushi.ng and the Kushi mobile apps (together, the “Platform”).

By creating an account or using the Platform you accept these Terms and our Privacy Policy. If you use Kushi for a business, you accept them for that business and confirm you are allowed to. If you do not agree, do not use the Platform.

Accounts and eligibility

You must be at least 18 and able to enter a binding contract.
Information you give us (name, phone, ID details, business details) must be true and kept up to date. Using someone else’s identity or NIN is a criminal offence and we will report it.
Keep your password and one-time codes private. You are responsible for activity on your account and, for a business, for the team members you invite and the permissions you give them.
Tell us straight away at info@kushicorp.com if you think your account has been used without permission.

Acceptable use

You must not:

break the law, or use Kushi for fraud, money laundering or other illegal financial flows;
post false, misleading or fraudulent listings, products or information;
harass, abuse, threaten or discriminate against anyone;
send spam, or message people who have not agreed to hear from you;
try to get around verification, payments or fees, including asking for payment outside Kushi where Kushi handles the payment;
access accounts or data that are not yours, probe or attack our systems, or reverse engineer the Platform;
use automated tools to scrape the Platform or overload it.

Kushi Housing

Kushi Housing is a technology platform that helps tenants, guests and hosts find, verify, book and pay for homes. Kushi is not a real estate agent, law firm or bank, and is not a party to the tenancy between a host and a tenant.

Verification

We check identities against government records (through NIMC/NIBSS-connected providers) and review listing documents. By using these features you allow us to make those checks. Verification lowers risk but does not guarantee that a person or property is free of problems; you should still use your own judgement.

Hosts

You confirm you own the property or are authorised to let it.
Photos, descriptions and prices must truthfully show the property. Fake or misleading listings are removed and the account may be banned.
You must not take payment for a Kushi booking outside Kushi.

Tenancy agreements

Kushi provides tenancy agreement templates for convenience; they are not legal advice. An agreement signed electronically by both parties on Kushi is binding under the Evidence Act 2011.

Bookings, cancellations and deposits

Cancellations, refunds and caution deposits are governed by the Booking Cancellation Policy and the Caution Deposit Policy, which form part of these Terms.

Kushi Sales

Kushi Sales gives businesses tools to take orders, manage stock and delivery agents, track cash on delivery and talk to customers. You run your business; Kushi provides the software.

Your responsibilities

You are responsible for your products, prices, orders, deliveries, refunds to your customers and your relationships with your delivery agents.
Kushi is not a party to any sale between you and your customers, or to any arrangement between you and your agents, and does not handle the cash they collect.
You must have a lawful basis for the customer and agent data you put into Kushi Sales and tell your customers how you use it. Kushi processes that data for you as described in our Privacy Policy.
Messages sent through WhatsApp, and any Meta Pixel or Conversions API you connect, are also subject to Meta’s terms.

Plans and limits

Kushi Sales offers a free plan and paid plans with different limits (such as orders per month, team seats and products). The current plans, prices and limits are shown in the app. Paid plans may start with a free trial; when the trial ends without a paid plan, the store moves to the free plan’s limits.

Support access

To help you, Kushi staff may open a time-limited, view-only support session on your store. Each session is recorded in your store’s activity log with the reason.

Payments and fees

Payments are processed by Flutterwave, a licensed payment provider. Its terms also apply to payments you make.
Kushi Housing: Kushi charges a service fee, shown before you pay. Rent and deposits are held and released to hosts according to the payout schedule in the app and the booking policies. The service fee is non-refundable once a booking is confirmed, except where a booking policy or the law says otherwise.
Kushi Sales subscriptions are billed in advance for the period you choose (monthly, every six months or yearly) and renew automatically until cancelled. If you cancel, your plan stays active until the end of the period you have paid for and does not renew. Payments already made are not refundable, except where Kushi agrees to a refund or the law requires one.
Prices are in naira and include applicable taxes unless stated otherwise. We will tell you before a price change applies to your plan.

Your content

You keep ownership of what you upload: listings, photos, products, messages and business data. You give Kushi a licence to host, store, copy, display and process that content as needed to run the Platform for you and, for listings and storefronts you publish, to show them to the public. You confirm you have the rights to everything you upload.

Our product and brand

The Platform, its software, design and the Kushi name and marks belong to Kushi or its licensors. You may use the Platform as these Terms allow, but not copy, resell or build a competing product from it, or use our marks without permission.

Availability and changes

We work to keep Kushi available and secure, but it may sometimes be unavailable for maintenance or reasons outside our control. We may change, add or remove features. If we make a change that significantly reduces what a paid plan includes, we will tell you in advance.

We may update these Terms. We will change the effective date above and, for significant changes, tell you by email or in the app before they take effect. Continuing to use Kushi after that means you accept the new Terms.

Suspension and closing accounts

We may suspend or close an account, remove content, or limit access if you break these Terms, if we suspect fraud or a security risk, or if the law requires it. Where it is safe and lawful we will tell you why and give you a chance to respond.

You can close your account at any time by contacting us, or for a Kushi Sales store by cancelling your plan and erasing the store’s data in the app. Sections of these Terms that by their nature should continue (such as fees owed, liability and disputes) survive closure.

Disclaimers and liability

To the fullest extent Nigerian law allows:

The Platform is provided “as is”. We do not guarantee the condition of any property, the conduct of any user, host, customer or agent, or the outcome of any sale or tenancy.
Kushi is not liable for disputes between users, for example between hosts and tenants, or between businesses and their customers or agents.
Kushi is not liable for indirect or consequential losses, or for lost profits, revenue or data.
Our total liability for any claim is limited to the fees you paid Kushi in the 12 months before the claim.

Nothing in these Terms limits liability that cannot be limited by law, such as for fraud.

Indemnity

You agree to compensate Kushi, its directors and staff for claims, losses and reasonable legal costs that arise from your breach of these Terms, your content, or your business’s dealings with its customers and agents.

Disputes and governing law

Please contact us first; most problems can be solved quickly and informally.
If a dispute is not resolved within 30 days, it will be referred to arbitration in Abuja, Nigeria, under the Arbitration and Mediation Act 2023, in English.
These Terms are governed by the laws of the Federal Republic of Nigeria.

General

These Terms, the Privacy Policy and the product policies they mention are the whole agreement between you and Kushi about the Platform. If any part is found unenforceable, the rest still applies. If we do not enforce a right straight away, we have not given it up. You may not transfer your account or these Terms without our consent; we may transfer them as part of a merger or sale of our business.
